Operations

The boring sphere. The Section 88 examiner will read this carefully.

Finance & banking

  • HK bank account — open after CLG incorporated. Likely HSBC Business Banking (slow) or Statrys (fast, fintech). Not Mainland banks for charity flow.
  • Accounting — Xero or QuickBooks. Single source of truth. Reconciled monthly.
  • Audit-ready bookkeeping — every receipt scanned + filed. finance/{YYYY}-Q{N}-disbursements.md and finance/{YYYY}-Q{N}-receipts.md mirror the books.
  • Transfer pricing — if Mainland operations open later, transfer pricing rules between HK and Mainland charities apply. Defer.

IT

  • Domain & DNSmishafoundation.org (target). Cloudflare. Run by Egor’s existing CF infrastructure.
  • Emailegor@mishafoundation.org plus role aliases (board@, info@, grants@). Likely Google Workspace (cheapest 501(c)(3)-equivalent route + best deliverability).
  • Wiki & website — Quartz for wiki (wiki.mishafoundation.org), separate landing page for mishafoundation.org. CF Pages for both.
  • Vault — this Obsidian vault (~/MISHA/). LiveSync via existing CouchDB infrastructure.
  • Document signing — DocuSign or HelloSign for SAB letters, grant agreements, board minutes.

Vendors

  • HK lawyer (one-off CLG review)
  • HK accountant (annual)
  • US fiscal sponsor (annual fee, typically 5-7% of US flow)
  • Brand identity contractor (one-off)
  • IRB consultant (registry program)

Insurance

  • D&O (Directors & Officers) liability — once board ≥3 directors. Defer.
  • Cyber liability — once registry holds patient data. Required.
  • General liability — if hosting in-person events.

Vendor file pattern

operations/vendors/{vendor-name}.md with frontmatter:

type: vendor
service: ...
contract: documents/signed/...
renewal_date: YYYY-MM-DD
contact: people/...
_private: true # if pricing is sensitive
